Usage of the Website shall be construed as your consent for receiving calls including marketing and promotional calls, autodialed and/or pre-recorded messages, from M/s Healthy Palate at any time, on the telephone number / contact information that may be provided by you. You hereby unconditionally consent that such communications via SMS, WhatsApp and/ or voice call is (a) upon your request and authorization, (b) ‘transactional’ and not an ‘unsolicited commercial communication’ as per the guidelines of Telecom Regulation Authority of India (TRAI) and (c) in compliance with the relevant guidelines of TRAI or such other authority in India and abroad. You hereby agree and undertake to indemnify M/s Healthy Palate against all types of claims, losses and damages incurred by M/s Healthy Palate due to any action taken by TRAI, Access Providers (as per TRAI regulations) or any other authority due to any erroneous compliant raised by you with respect to the intimations mentioned above or due to a wrong number or email-id being provided by you for any reason whatsoever.

The Website are technology-based platforms through which M/s Healthy Palate, on a non-exclusive and principal-to-principal basis, sells its organic products which includes (“Products”). The sale of Products by M/s Healthy Palate to you is therefore subject to these Terms and Conditions. M/s Healthy Palate reserves the right, in its sole and absolute discretion, to refuse, suspend, or terminate selling any of the Products and / or provision of the services to any person as it may deem fit.

  1. YOUR ACCOUNT AND PLACING OF ORDER

Your order for purchase constitutes your "order" which shall be subject to written acceptance of the same by M/s Healthy Palate and the Terms and Conditions as listed below. If you have supplied M/s Healthy Palate with your email address, M/s Healthy Palate may notify you by email as soon as possible to confirm receipt of your order and email you again to confirm details and therefore process the order.

  • USERS ELIGIBILITY

M/s Healthy Palate will protect Your Information in accordance with our Privacy Policy. In such an event, M/s Healthy Palate reserves the right to introduce fees for the new Products offered or amend/introduce fees for existing Products, as the case may be. All Products offered by M/s Healthy Palate are described and pictured as completely and precisely as possible and in good faith. Despite all our precautions M/s Healthy Palate cannot be held liable for possible errors and you acknowledge that the Product delivered to you may vary from the Product displayed and pictured on the Website. Regarding the colors, M/s Healthy Palate has made every effort to display the colors of the Products that appear on the Website as accurately as possible. However, as the actual colors you see will depend on your monitor, M/s Healthy Palate cannot guarantee that your monitor's display of any color will be accurate. The Products available on the Website, and the samples, if any, that M/s Healthy Palate may provide you, are for your personal and/or professional use only. In case any products including personal care products purchased or received causes side effects or does not suit you, please note that M/s Healthy Palate is in no manner responsible for any side-effects. You should carefully read the individual terms and conditions in relation to the Products and use it at your risk.

  1. PRICING INFORMATION

While M/s Healthy Palate strives to provide accurate Product and pricing information, pricing or typographical errors may occur. M/s Healthy Palate cannot confirm the price of a Product until the order is confirmed. In the event that a Product is listed at an incorrect price or with incorrect information due to an error in pricing or Product information, M/s Healthy Palate shall have the right, at our sole discretion, to refuse or cancel any orders placed for that Product, unless the Product has already been dispatched. In the event that an item is mis-priced, M/s Healthy Palate may, at its discretion, either contact you for instructions or cancel your order and notify you of such cancellation. Unless the Product ordered by you has been dispatched, your offer will not be deemed accepted and M/s Healthy Palate will have the right to modify the price of the Product and contact you for further instructions using the email address provided by you during the time of registration or cancel the order and notify you of such cancellation. If M/s Healthy Palate has to cancel the order after M/s Healthy Palate has processed the payment, the said amount will be reversed back to you.

M/s Healthy Palate reserves the right to recover all costs incurred or suffered by M/s Healthy Palate on account of fraudulent use of the Website including without limitation the cost of Products, collection charges, cancellation charges, delivery charges and lawyers’ fees. M/s Healthy Palate reserves the right to initiate legal proceedings against such persons for fraudulent use of the Website and any other unlawful acts or acts or omissions in breach of these Terms and Conditions.



  • CANCELLATION OF ORDER BY M/s Healthy Palate

Please note that there may be certain orders that M/s Healthy Palate may not be able to accept and may thus cancel. M/s Healthy Palate reserves the right, at its sole discretion, to refuse or cancel any order for any reason. Some situations that may result in your order being canceled include limitations on quantities available for purchase, inaccuracies or errors in Product or pricing information, or problems identified by M/s Healthy Palate. M/s Healthy Palate may also require additional verifications or information before accepting any order. M/s Healthy Palate will contact you if all or any portion of your order is canceled or if additional information is required to accept your order. If your order is cancelled after you have remitted the funds, the said amount will be remitted back to you.

  • CANCELLATION OF ORDER BY THE CUSTOMER

Orders once placed cannot be cancelled by you.

Any dispute or difference either in interpretation or otherwise, of any terms of this these Terms and Conditions between the parties hereto, the same shall be referred to an independent arbitrator who will be appointed by M/s Healthy Palate and its decision shall be final and binding on the parties hereto. The above arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. Either Party shall be entitled to apply to the competent courts for interim or interlocutory relief in respect of such arbitration. The arbitration shall be held in Mumbai.

You agree to defend, indemnify and hold harmless M/s Healthy Palate, its employees, executives, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to M/s Healthy Palate or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfillment of any of your obligations under this Terms and Conditions or arising out of the your violation of any applicable laws, regulations including but not limited to intellectual property rights, payment of statutory dues and taxes, fraudulent transactions or other rights. This clause shall survive the expiry or termination of this Terms and Conditions.

  • TERMINATION

This Terms and Conditions is effective unless and until terminated by either you or M/s Healthy Palate. You may terminate this Terms and Conditions at any time, provided that you discontinue any further use of this Website. M/s Healthy Palate may terminate this Terms and Conditions at any time and may do so immediately without notice, and accordingly deny you access to the Website. Such termination will be without any liability to M/s Healthy Palate.
